I thought it was that you get the last hit on an enemy? Or is it something more?
I use critical blow and some times the cool down for the abilities don't decrease.

Yup, headshot vanquish.
From my understanding, you get a critical vanquish if you get a direct vanquish on an opponent, and the final blow is a critical hit. Characters such as Peashooter, Chomper, Engineer and Super Brainz deal critical hits more often so it may be worth equipping Critical Blow on those characters.

well, is critical blow really worth 3 then? I think 2 is a better spot for this upgrade.
Primary weapons that deal increased damage on headshots can only earn a crit vanquish on a headshot vanquish.
Explosive attacks that also deal direct damage can earn a crit vanquish if the final blow directly hit any part of the target. This includes abilities such as zpg and shuck shot. I would also presume rocket ride but I have not seen this.
Melee primaries will always earn and crit vanquish (regardless of face bite)
Spore Strike and Flameblower cannot earn crit vanquishes because they always deal the same amount of damage, however fung-fu can. Abilities like bean bomb and imp punt cannot crit vanquish because they deal purely splash damage.
