1) You gain Stealth but it doesn't matter since the assists will still go through, and Zaul is most likely dead.
2) 20% TM is effectively 25% extra Speed for the first turn. So for example if your Zaul is at 216 speed, his first turn speed is 270 which should be decent enough to go before most characters. If you can get Zaul to Daze first, then nobody will be called by Bigg's assist. (So yes, it's possible, that is what I used to do.)
Zaul is really not that great anymore, not after R2 so I still wouldn't advise investing a Zeta on him.
