If your game is crashing only when you overclock then you should try a more gentle and incremental approach to your overclocking procedure, or set up a stock clock profile even if it just so this game works correctly. Your rig is pretty decent so the game should can run nicely at stock clocks.
Thanks bud , i did just that i bumped the OC down to 50 mhz on the gpu and 300 on the memory and it seems to like it there with out a fuss. So that's one off the list to fix 🙂
I still cant get the fps drop to stop ( poet didn't know it ) . The major spot every time for me is like i said drive around the legends wheel race area by the cop station and gas station and the game just dies . Well it doesn't die , maybe that harsh but it still stutters and drops fps enough to annoy a guy a lot. 80 % of the time its running 60 fps pegged and runs like smooth silky waxed butter ( i have no idea what the "hal" that is ) but when im running around that area or some others its just struggles like crazy. It will drop to 45 fps or so no matter the settings and stutter bad. Any aw inspiring wisdom to shed on that problem my friend because it has me stumped and it does get annoying so i would like to get some kind of fix , if at all possible.

Running a GPU monitoring app can be very informative. This will allow you to check CPU/GPU usage, temperatures, FPS max/min/average etc. and may help you focus your tweaking. Not awe inspiring but at least you can get some hard data to work with. 🙂
Oh, and there is a new nvidia driver set available so check that out too.

I have had worse advice bud , lol . Some of which i cant repeat on a public board .So your advice being good is inspiring on some level right lol 😛
So here is 2 shots of max readings via GPU-Z when i m driving around Legends Wheel race area.. The one by the Police station and fuel station location as i said before. It constantly drops to 45 fps minimum and it hovers around 48 50 fps just doing circles at that intersection. Drive a bit further and again all is good and fps shoots back to a solid 60fps . My i7 4770k shows high peaks ( other shot from task manager) but there is certainly head room. GPU usage when in that spot in game as you can see is 98% . I monitor it all via MSI on my Logitech G510 key board lcd screen in real time. GPU-Z shows that its using the card but the game struggles to hold 50fps always in that area and a few others. Plus again stuttering. I haven't tried the new driver 378.92 as i just dont think its driver related. I have tried 3 different drivers with the same results. I mean yea , it is a very small possibility the new driver could fix it but 3 other drivers didn't so who knows right. Its just odd that NFS is the only game that doesn't play well with this card. Kind in mind when i was using my gtx 780 ti it did drop but the stutter was never there as much as it is now. As i squint and look upward deep in thought puffing on my bubble pipe i just cant make sense of it. What is making it drop so bad at those certain i game areas ?

Hitting a min of 45FPS at 2560×1600 is not so bad, I don't think anything is wrong or broken with your setup or the game. I suggest playing around with the in-game graphics quality setting to find what raises your min framerate the most while not impacting visual quality too much. There are tons of performance related articles/videos online and personally I enjoy nerding out on DigitalFoundry and the like.
