Thank you for joining in to help. I have tried multiple times to reset all OC to default with no luck as well. I never tried the event viewer before but it did come up with a Critical error for kernel power. heres the details:

Don't get lose already because you know the source now even if "kernel" is an critical component.
I think you already tried to use "repair game" in Origin client or reinstall the game at this moment.
Try to look for similar error code on Google... there are many solved problems but you may face some big testing procedures so don't get upset.
In last resort you may have an faulty motherboard VRM or CPU... but it's a long road to travel before confirming that.
Try an BIOS update before that.

Reptile may be on the right track here. Did you upgrade your GPU without upgrading your power supply (PSU)?

Nope. No upgrades on my system for the last 3 to 4 years its been the same running at the same stable overclock with no issue on any game... i don't get why this Wouldn't happen in GTAV since that game is way more resource hungry on a system then NFS payback... also the fact that the game worked perfectly for the first month with no problems and then after a few game updates, the game decides to stop working a week or 2 after the last update making me think that EA did something to the game in an update that changed the way the game accesses system resources causing it to crash 95% of the time.
I say 95% cause i try a few times each day to run the game and maybe 1 out of 20 tries it magically works, like how i just got done playing the game for an hour. i stopped cause i had some family stuff to do but before i did that i exited the game and then tried to restart the game immediately and my system rebooted 3 times in a row.
Im almost at a complete loss for words and my own time. I shouldn't have to update my system just to play a game that my system should and did run for a short while. Im about to find out how to get my money back cause this is too frustrating.

On saturday night i updated my graphics driver and did a fresh install, after the reboot i tried the game and POOF! IT WORKED!!!!......
That night.....
I tried it 10 times on sunday and 10 more tonight and nothing.
What do i do at this point?

Can you check that your copy of Windows is fully and correctly activated please?

- To be honest I don't think you have a software problem...
I tried to search on Google for similar issues as you regarding the kernel power and this is what I found:
1 Check for any heavy dust accumulated in your PC and PSU.
2 Check all power connectors on your motherboard and GPU and even other consumers.
3 Try to disconnect unnecessary consumers for a while like DVD drive, secondary HDDs, fans, LEDs
(A system rebuild would be better)
4 Check system stability using some stress benchmarks. (10-15 min for CPU and GPU is enough, also check DRAM stability ).
5 Try another PSU if any friends can help you.
If stress tests won't crash your PC but only the game will, just install the game on another drive. My copy of windows is valid and activated properly.

my power supply is rated for SLI but i only have 1 graphics card, i might try to swap the other graphics card power cable since its never been used... think it will do anything?

- Depends on how many power rails your PSU may have but you can try...
I'm very stupefied about your problem... but you need to take some time and dig... Sorry ive been busy with family...
I switched to different cables and PCI ports on the power supply and things went weird. Now all of my games play for a few minutes before they start slowing down, lagging, FPS drops... and my personal favorite happens on NFS Payback, artifacts! So playing any game now only lasts a few minutes at most before freezing and then crashing my system. After reboot i check the event viewer and i get that Kernel code.
I dont know if its the PSU or GFX
Im gonna look up more info online about the event ID: 41 and the locale ID: 1033.
- You probably misplace the motherboard power cables with the GPU and this is why your PC crash at every hard task now.
Try to find a PSU for test and you will find out what cause your problem.
